TELL Resource Library User Agreement
New Teacher Center (NTC) owns the TELL Resource Library, a platform that allows clients to access multiple tools and instructional guides. NTC is a standalone nonprofit 501(c)(3) entity whose charitable purpose is providing teacher induction consulting and services to help school districts increase the retention and effectiveness of new teachers. NTC programs and tools are designed to make teachers better faster.
Resources Provided by the TELL Resource Library
The resources in the Resource Library consist primarily of links to external websites. Visitors to the Resource Library can access these resources via hyperlinks.
NTC takes no responsibility for any web content on these external sites. NTC takes no responsibility for viruses, adware, or any malicious software that users of the Resource Library may encounter while visiting external sites.
Participation in the Site
The TELL Resource Library may be accessed by any user at http://teachingconditions.org/. Users may register on the site by providing a user name and a valid e-mail. Once a user has registered for the site a password is mailed to them. NTC will not disclose a user name, e-mail, or password to any third party. Reasonable measures shall be taken by NTC and by the User to protect the secrecy of and to avoid the unauthorized use and disclosure of confidential information.
Once a user has successfully registered on the site they may participate in “forums”. This participation allows users to add text content to the forum.
NTC reserves the right to modify the TELL Resource Library, including content, look and feel, at any time without notice. The TELL Resource Library is provided “as is” and there are no express, or implied, warranties.
NTC reserves the right to modify this Agreement at any time, and each such modification shall be effective upon posting on the TELL Resource Library. All modifications will apply prospectively only. Your continued use of the TELL Resource Library following any such modification constitutes your agreement to be bound by, and your acceptance of, the Agreement as so modified. It is therefore important that you review this Agreement regularly. If you do not agree to be bound by this Agreement and to abide by all Applicable Law, you must discontinue use of the TELL Resource Library immediately.
This Agreement, and any posted revision to this Agreement, shall remain in full force and effect while you use the TELL Resource Library. NTC may terminate your access at any time if use violates this agreement or does not comply with aforementioned contracts between User’s employer or sponsoring organization and NTC, with or without prior notice or explanation, and without liability. Furthermore, NTC reserves the right, in its sole discretion, to reject, refuse to post or remove any posting by you should such posting violate the terms of this agreement or the terms of aforementioned contracts between the User’s employer or sponsoring organization and NTC.
When you register on the TELL Resource Library, you will be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, email address or password of another User at any time or to disclose your password to any third party. You agree to notify NTC immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
Please choose carefully the information that you post on, through or in connection with the TELL Resource Library. NTC may reject, refuse to post or delete any content for any or no reason, including, but not limited to, content that in the sole judgment of NTC violates this Agreement or which may be offensive, illegal or violate the rights of any person or entity, or harm or threaten the safety of any person or entity. You are solely responsible for the content that you post on the TELL Resource Library, and any material or information that you transmit to other Users.
The following are examples of the kind of content that is illegal or prohibited to post on, through or in connection with the TELL Resource Library. NTC reserves the right to investigate and take appropriate legal action against anyone who, in NTC’s sole discretion, violates this provision, including, without limitation, removing the offending content, terminating access of such violators and reporting such content or activities to law enforcement authorities. Prohibited content includes, but is not limited to:
- Content that is patently offensive or promotes or otherwise incites racism, bigotry, hatred or physical harm of any kind against any group or individual.
- Content that harasses or advocates harassment of another person.
- Content that exploits people in a sexual or violent manner.
- Content that contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website.
- Content that publicly posts information that poses or creates a privacy or security risk to any person.
- Content that constitutes or promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.
- Content that constitutes or promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices.
- Content that furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to, making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses.
- Content that solicits or is designed to solicit passwords or personal identifying information for commercial or unlawful purposes from other Users.
- Content that involves commercial activities and/or sales without prior written consent from NTC such as contests, sweepstakes, barter, advertising, or pyramid schemes.
- Content that includes a photograph or video of another person that you have posted without that person’s consent.
- Content that violates or attempts to violate the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person.
Protecting Copyrights and Other Intellectual Property
NTC respects the intellectual property of others, and requires that our Users do the same. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. It is NTC’s policy to terminate, in appropriate circumstances, the access of repeat infringers.
If you believe your work has been copied and posted on or through the TELL Resource Library in a way that constitutes copyright infringement, please send NTC a notification of claimed infringement with all of the following information: (a) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (b) identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on the TELL Resource Library, (c) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address; (d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (e) a statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf; and (f) your physical or electronic signature. Limitation on Liability
In no event shall NTC be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the TELL Resource Library.
The Agreement shall be governed by, and construed in accordance with, the laws of the State of California.
You agree to indemnify and hold NTC and its respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including, but not limited to, reasonable attorneys’ fees, made by any third party due to or arising out of your use of the TELL Resource Library in violation of this Agreement.
This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
